Every Hong Kong company must have a registered office in Hong Kong, where all communications and notices can be sent. It cannot be outside Hong Kong. If the address changes, the company must file Form NR1 with the Companies Registry within 15 days.
The rules
- The registered office must be in Hong Kong. It is stated in the incorporation form and cannot be left blank.
- All communications and notices to the company may be sent there.
- A change must be notified in Form NR1 within 15 days. You can file NR1 electronically.
How it links to other duties
- The significant controllers register can be kept at the registered office. If it's kept elsewhere in Hong Kong, notify the Registrar in Form NR2 within 15 days.
- Changes to business particulars, such as the business address, must be notified to the Business Registration Office in writing within 1 month.
Using a registered office service
Companies without their own Hong Kong office often use a business address service, so that government and bank letters are received and passed on reliably. Choose a provider that tells you promptly when important mail arrives.
Related service: Registered Office Address & Digital Mailroom (HK$3,800 / year; HK$6,800 / 3 years). We can handle this for you, and the first consultation is free.
